Terms of Service

1. The service

ThreadScope monitors public Reddit discussions and provides AI-assisted analysis to help teams find and respond to relevant community conversations. The service is provided by Venn Labs LLC, a Missouri limited liability company ("we", "us", "our").

By using ThreadScope, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

2. Eligibility

You must be at least 16 years old to use ThreadScope. By creating an account, you represent that you meet this age requirement.

3. Your account

You are responsible for keeping your login credentials secure. You may delete your account at any time from the Account settings page. Upon account deletion, all your data -- including subreddit preferences, tags, post status, chat history, AI credits, and encrypted API keys -- is permanently removed within 30 days.

4. Reddit data

ThreadScope fetches publicly available Reddit posts and comments through third-party public archive APIs. This data is provided as-is. We do not claim ownership of Reddit content and we do not access private or restricted subreddits.

ThreadScope is not affiliated with, endorsed by, or sponsored by Reddit, Inc. Reddit content displayed in the service remains subject to Reddit's User Agreement. The availability of Reddit data depends on third-party archive services and may change, be reduced, or be discontinued at any time without notice from us. We do not guarantee completeness or continued availability of historical Reddit data.

5. AI-generated content

Responses generated by the AI assistant are suggestions only. They may be inaccurate, incomplete, or inappropriate. You are solely responsible for reviewing, editing, and approving any content before posting it publicly. ThreadScope is not liable for any consequences of publishing AI-generated text, including but not limited to claims of defamation, intellectual property infringement, or regulatory violations.

We do not use your data to train, fine-tune, or otherwise modify any AI model. Your conversations are processed by OpenRouter, which routes them to the specific model provider you select (such as OpenAI, Anthropic, or Google). Your use of AI features is subject to OpenRouter's terms and privacy policy. We log AI requests and responses to evaluate response quality and refine prompt construction. These logs are retained for up to 90 days and are not shared with third parties. By using any AI features in ThreadScope -- whether on the free tier or a paid plan -- you agree to be bound by OpenRouter's Terms of Service in addition to these Terms. OpenRouter may update their terms from time to time. Continued use of AI features after such updates constitutes your acceptance of the revised OpenRouter terms.

Data transfer notice for DeepSeek models: If you select a DeepSeek model, your messages and the content of the post being analysed will be sent to DeepSeek, which is based in China. Data sent to DeepSeek may be processed in China and subject to Chinese data protection laws, including requirements that may compel disclosure to government authorities. By selecting a DeepSeek model, you acknowledge and accept this transfer. If you are subject to regulations that restrict data transfers to China, do not select a DeepSeek model.

6. Payment terms

6.1 Subscription billing

Paid plans are billed in advance for the applicable subscription period. Subscriptions automatically renew for further periods equal to your initial subscription term until you cancel. Cancellation takes effect at the end of your current billing period. You may cancel your subscription at any time.

6.2 AI credits

Each paid subscription tier includes a monthly allocation of AI credits. One thousand credits equal one dollar ($1.00 USD) of AI model usage, as calculated based on the token pricing of the selected model. Usage is rounded up to the nearest credit. Credits are a benefit of your subscription, not a separate purchase. Unused credits do not roll over and reset at the start of each billing cycle. Credits are non-transferable and tied to your account.

If you cancel your subscription, your credits remain available until the end of your current billing period. Upon account deletion or termination, all remaining credits are permanently forfeited.

6.3 Promotional and limited-time tiers

We may offer promotional or limited-time subscription tiers at special pricing. These tiers may be discontinued or closed to new subscribers at any time. If you cancel or change a promotional tier, you may not be able to re-subscribe at the promotional price. Promotional tiers are otherwise subject to all the same terms as standard subscription tiers.

6.4 Refunds

Payments are processed by Polar, who acts as the merchant of record for all ThreadScope transactions. If you have any billing questions, payment issues, or refund requests, contact us directly at hello@threadscope.io and we will work with you to resolve the issue, including initiating refunds through Polar where appropriate.

Subscription fees are non-refundable except where required by applicable law. Discretionary refunds may be considered within 14 days of purchase at our sole discretion. Where applicable law provides a statutory withdrawal or cooling-off period, that right applies. For digital content and services, by completing a purchase you expressly consent to immediate performance and acknowledge that you lose your right of withdrawal once the digital content or service has been fully provided.

6.5 Price changes

Price changes require 30 days advance notice. We will notify you by email before any price increase takes effect. Continued use of a paid plan after a price increase constitutes acceptance of the new price.

6.6 Taxes

Polar, as our merchant of record, is responsible for calculating, collecting, and remitting all applicable taxes on transactions processed through the service, including sales tax and value-added tax (VAT). Any applicable taxes will be calculated and displayed at checkout.

7. Free tier

The free tier is provided at our discretion. We reserve the right to modify, limit, or discontinue the free tier at any time with 30 days notice to affected users. Free tier users are subject to all other provisions of these Terms.

Free-tier AI features are provided via OpenRouter. Free tier usage is subject to the same terms regarding AI-generated content described in Section 5 above.

8. Acceptable use

You agree not to:

  • Use the service to harass, spam, or target individuals.
  • Attempt to access other users' data or accounts.
  • Circumvent rate limits or security measures.
  • Use automated tools to scrape or bulk-download data from the service.
  • Use the service in violation of any applicable law or regulation.
  • Resell, sublicense, or commercially redistribute access to the service without our written consent.
  • Use the AI assistant to impersonate real individuals.
  • Generate content designed to deceive or mislead about its AI-generated nature.
  • Systematically manipulate online communities using AI-generated responses.
  • Use AI features to generate content that violates applicable laws.

9. Intellectual property

ThreadScope and its original content, features, and functionality are owned by Venn Labs LLC and are protected by applicable intellectual property laws. You retain ownership of any data you submit to the service. By using ThreadScope, you grant us a limited, non-exclusive, worldwide license to process your data solely as necessary to provide and operate the service. If you believe content displayed in ThreadScope infringes your copyright, please see our DMCA Policy.

10. Privacy and data

Our Privacy Policy governs how we collect, use, and protect your data. We are responsible for the data we collect and process through the service, including publicly available Reddit data that we fetch to provide our monitoring features. Our Data Processing Addendum describes the commitments we make when processing data on your behalf.

11. Indemnification

You agree to indemnify, defend, and hold harmless Venn Labs LLC, its officers, members, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms.
  • Content you publish or distribute using AI-generated suggestions from the service.
  • Your violation of any rights of a third party.

12. Availability and liability

To the extent permitted by applicable law, the service is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms excludes or limits any warranty or right that cannot be excluded or limited under the laws of your jurisdiction, including any statutory consumer guarantees. We aim for reasonable uptime but do not guarantee uninterrupted availability. ThreadScope is not liable for lost data, missed posts, or downstream consequences of using the service or its AI features.

To the maximum extent permitted by applicable law, Venn Labs LLC's total aggregate liability to you for all claims arising out of or relating to the service or these Terms shall not exceed the greater of (a) the total fees paid by you to ThreadScope in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred US dollars ($100). This limitation applies regardless of the form of action, whether in contract, tort, strict liability, or otherwise. This limitation does not apply to our obligations under applicable data protection laws.

In no event shall Venn Labs LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of whether we have been advised of the possibility of such damages.

13. Termination

We may immediately suspend or terminate your account if your use poses a security risk to the service or other users, or if required by law. For other violations of these Terms, we will notify you and provide 14 days to cure the violation before terminating your account. You may terminate your account at any time by deleting it from Account settings. Upon termination, your data is deleted within 30 days, subject to any legal retention obligations. Any unused AI credits are forfeited upon termination.

14. Dispute resolution

14.1 Informal resolution

Before initiating any formal dispute proceeding, you agree to first attempt to resolve the dispute informally by contacting hello@threadscope.io. Both parties will make a good-faith effort to resolve the dispute within 30 days of the initial contact.

14.2 Binding arbitration

If the dispute is not resolved informally within 30 days, either party may initiate binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted by a single arbitrator in the State of Missouri, United States. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Small claims exception

Notwithstanding the above, either party may bring a qualifying claim in small claims court in Missouri, provided the claim falls within the court's jurisdictional limits.

14.4 Class action waiver

All disputes must be brought in the parties' individual capacity, not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. You agree to waive the right to participate in a class action, class arbitration, or any other representative proceeding.

14.5 Consumer protection exception

Sections 14.2 (Binding arbitration) and 14.4 (Class action waiver) do not apply where mandatory consumer protection laws of your jurisdiction prohibit such provisions. If you reside in a jurisdiction where arbitration clauses or class action waivers are unenforceable against consumers -- including but not limited to the European Union, European Economic Area, United Kingdom, Switzerland, Australia, and Brazil -- you retain the right to bring claims in the courts of your country of residence in accordance with applicable law.

14.6 Limitation of claims

Any claim or cause of action arising out of or relating to your use of the service or these Terms must be filed within one (1) year after the claim arose, or it is permanently barred. This limitation applies regardless of the form of action and regardless of when the claimant became aware of the claim. This provision does not apply where a shorter or longer limitation period is required by mandatory applicable law.

15. Governing law

These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Missouri, United States, without regard to its conflict of law principles. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Missouri, and you consent to the personal jurisdiction of those courts.

16. Force majeure

Neither party will be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, war, terrorism, government actions, internet or infrastructure failures, power outages, pandemics, or third-party service outages.

17. Severability

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

18. No waiver

Our failure to enforce any provision of these Terms at any time does not constitute a waiver of that provision or of our right to enforce it at any later time.

19. Electronic communications

By creating an account, you consent to receive communications from us electronically, including by email and through notices posted on the service. You agree that all notices, agreements, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

20. Entire agreement

These Terms, together with the Privacy Policy, Data Processing Addendum, DMCA Policy, and Security Policy, constitute the entire agreement between you and Venn Labs LLC regarding your use of ThreadScope and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.

21. Assignment

We may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets, without your consent but with notice to you. You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent.

22. Changes

We may update these Terms. We will notify registered users by email of material changes at least 30 days before they take effect. Continued use of the service after the effective date of a change constitutes acceptance of the updated Terms.
